These Terms of Service (“Terms”) govern access to and use of AgentKred (the “Service”) provided by AgentKred (Imperion Technologies). By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
AgentKred helps real estate professionals collect short client video testimonials, review them in a dashboard, and publish approved videos on a public reviews page. Features may include QR links, website embeds, and subscription tiers as described on our website. We may add, change, or discontinue features with reasonable notice where practical.
2. Eligibility & accounts
You must be able to form a binding contract in your jurisdiction. You are responsible for your account credentials and all activity under your account. Information you provide must be accurate and kept current. You may not share accounts or resell access except as we expressly permit.
3. Roles: Agents and Clients
Agents are our customers who create profiles and invite Clients to record. Clients (or “recorders”) are individuals who submit videos through an Agent’s recording link without necessarily having their own AgentKred account.
Agents are responsible for how they use testimonials in marketing, including compliance with fair housing, anti-discrimination, advertising, and privacy laws in their market. AgentKred provides tools; it does not provide legal advice.
4. Your content
You retain ownership of content you upload or cause to be recorded, subject to the license below. You represent that you have all necessary rights and, where required, consents for us to host and process that content.
You grant Imperion Technologies a worldwide, non-exclusive, royalty-free license to host, store, reproduce, encode, transmit, display, and perform your content solely to operate and improve the Service as you configure (including your public page and embeds).
“Verified” in the product means the testimonial went through AgentKred’s capture and Agent review workflow—it is not a legal certification, background check, or guarantee of accuracy.
5. Acceptable use
You agree not to:
- Violate law or third-party rights;
- Upload unlawful, harassing, discriminatory, deceptive, or infringing content;
- Record people without permission where consent is required;
- Circumvent security, abuse upload limits, or interfere with the Service;
- Scrape, reverse engineer, or resell the Service except as allowed by law;
- Use the Service to send spam or misleading requests to Clients.
We may remove content, suspend accounts, or report activity to authorities when we reasonably believe it violates these Terms or creates risk.
6. Fair housing & professional compliance
Real estate Agents must not use testimonials to express or imply discriminatory preferences (e.g. regarding race, religion, national origin, familial status, disability, or other protected classes). You are solely responsible for compliance with RESPA, state licensing rules, brokerage policies, and advertising standards that apply to you.
7. Fees & subscriptions
Paid plans are billed through Lemon Squeezy. Prices, features, and limits (e.g. monthly recording caps on free tier) are shown at checkout or on our pricing page. Taxes may apply. Non-payment may downgrade or suspend paid features. See our Refund Policy.
8. Third-party services
The Service integrates with third parties (hosting, storage, email, payments). Your use of those services may be subject to their terms. We are not responsible for outages or changes outside our reasonable control.
9. Intellectual property
AgentKred software, branding, and documentation are owned by Imperion Technologies or licensors. Except for rights expressly granted, you receive no license to our IP. You may not use our trademarks without permission.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT TESTIMONIALS WILL INCREASE SALES OR LEADS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Imperion Technologies AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
We are not liable for business losses, lost transactions, regulatory penalties, or claims arising from your marketing use of testimonials, Client content, or third-party platforms.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $50 IF YOU HAD NO PAYMENT OBLIGATION.
Some jurisdictions do not allow certain limitations; our liability is limited to the fullest extent permitted.
12. Indemnity
You will defend, indemnify, and hold harmless Imperion Technologies from claims arising from your content, your use of the Service, your interactions with Clients, or your violation of these Terms or law.
13. Termination
You may stop using the Service anytime. We may suspend or terminate access for breach, risk, non-payment, or legal requirements. Sections that should survive (IP, disclaimers, liability limits, indemnity, governing law) survive termination.
14. Governing law
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules, except where mandatory consumer protections in your country apply. Courts in Türkiye have jurisdiction, subject to non-waivable consumer rights.
15. Changes
We may update these Terms. Continued use after the effective date may constitute acceptance where permitted by law.
